CONSTITUTION AND BYLAWS

PEACHTREE CLOWN ALLEY - CONSTITUTION AND BYLAWS

ARTICLE I - NAME AND PURPOSE

Section 1 - The name of this organization shall be the Peachtree Clown Alley (PCA).

Section 2 - The purpose of this organization shall be to foster friendship, merriment, and education among clowns.

ARTICLE II - ANNUAL MEETING

Section 1 - The annual meeting shall be held in November at the normal or assigned meeting place for the purpose of electing a slate of officers to represent the PCA for the coming year.

Section 2 - Participation in the annual meeting shall require current PCA membership in good standing. Any elected officer (i.e., Secretary, VP-Membership) is qualified to certify members in good standing.

ARTICLE III - OFFICERS OF PCA

Section 1 - The officers of PCA shall consist of President, First Vice-President, Second Vice President, Secretary, and Treasurer.

Section 2 - The incoming President shall appoint the following officers: Chaplain, Sergeant-at-Arms, Newsletter Editor, and Parliamentarian.

Section 3 - A vacancy in the office of President shall be filled by the advancement of the First Vice-President to President. All other vacancies shall be appointed by the President to finish the remainder of the term.

Section 4 - All elected officers shall serve for one year with the exception of the Treasurer, who shall be elected for a term of two years.

Section 5 - Any elected officer may be removed from office at any meeting upon the recommendation of a majority of the officers present and by a majority of votes of members present for:

ARTICLE IV - NOMINATION AND ELECTIONS

Section 1 - Nominations for officers shall be held at the annual meeting each year. Only currently paid members of PCA are allowed to seek office. Nominees for office must have attended PCA meetings for at least 6 of the previous 9 months.

Section 3 - A member running for an office may notify the Secretary as early as 90 days before or declare intent at a regular meeting prior to the annual meeting. Nominations from the floor shall be permitted only if each nominee is present.

Section 4 - A majority of votes shall govern elections. In the event more than two nominees are considered and none received a majority on the first ballot, a second ballot shall be taken. Only the two nominees having received the greatest number of votes shall be reconsidered for election.

Section 5 - There shall be no proxy votes.

Section 6 - The President shall appoint a committee to conduct the election in strict accordance with the PCA Bylaws.

Section 7 - Elected officers shall be installed at the regular January meeting.

ARTICLE V - DUTIES OF THE OFFICERS

Section 1 - The President shall preside at all meetings of the PCA and administrate the affairs of the organization. He or she shall call meetings as may be necessary.

Section 2 - The First Vice-president shall assist the President; shall be responsible for the publicity of the organization; and, in the absence of the President, shall assume the duties and responsibilities of the President.

Section 3 - The Second Vice-President shall be responsible for membership and shall assist the President and First Vice-President in their responsibilities.

Section 4 - The Secretary shall keep minutes of all meetings of the organization and shall conduct correspondence.

Section 5 - The Treasurer shall keep accurate account of all funds received and disbursed by the organization and shall give monthly /annual reports.

Section 6 - All funds of the PCA shall be maintained in an FDIC-insured bank account and payments shall require the signatures of both the President and Treasurer.

Section 7 - The Sergeant-at-Arms shall assist the President in maintaining order at all meetings and shall have the authority to dismiss any member if he or she is disrupting a meeting.

Section 8 - The Chaplain shall conduct "appropriate prayers", (non-sectarian), at all meetings and shall be in charge of the memorial service at the annual meeting.

ARTICLE VI - MEMBERSHIP

Section 1 - Charter membership is defined as the membership of the organization during the first year of the organization's inception. All others are regular memberships.

Section 2 - Annual membership dues shall be $25.00 per year for the first member and $15.00 for each additional immediate family member. Members are required to be in good standing with Clowns of America International, Inc. (COAL).

Section 3 - New member fees shall be prorated to $1 less / month for each consecutive month of the year. This fee scale does not apply to renewals. For any person attending PCA meetings as a non-member (i.e., as a visitor or when membership has lapsed) the monetary requirements as specified in the PCA Standing Rules for visitors shall apply.

ARTICLE VII - AMENDING THE PCA BYLAWS

Section 1 - The Bylaws of the PCA may be amended at any regular meeting by a two-thirds majority of those present and voting. The proposed amendment(s) must have been published in three consecutive issues to the members and read at three consecutive meetings prior to taking the vote. Only members in good standing shall be allowed to vote.

ARTICLE VIII - PARLIAMENTARY AUTHORITY

Section 1 - Robert's Rules of Order will prevail unless they are in conflict with these bylaws, and shall govern the conduct of all meetings.
